1. About us and these terms

This website is operated by Wright Frameworks Ltd, a company registered in England and Wales under company number 17412236, whose registered office is at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ ("we", "us", "our").

By using this website you accept these terms. If you do not accept them, please do not use the site. We recommend you keep a copy.

2. Changes

We may amend these terms at any time by changing this page. Check this page when you use the site; the terms in force are those published at the time of your use. We may update, suspend or withdraw the site, or any part of it, without notice. We are not liable if the site is unavailable for any period.

3. Using our website

The site is made available free of charge. You may use it for your own lawful business purposes.

You must not:

• use the site in any unlawful or fraudulent way, or for any harmful purpose;
• submit false information, or impersonate any person or organisation, through the enquiry form;
• use the enquiry form to send unsolicited marketing, spam or bulk communications;
• knowingly introduce viruses, trojans, worms or other malicious material;
• attempt to gain unauthorised access to the site, the server on which it is stored, or any server, computer or database connected to it;
• attack the site via a denial-of-service attack;
• use automated systems to scrape, harvest or extract data from the site beyond ordinary search engine indexing;
• reproduce, distribute or commercially exploit any content from the site without our permission.

Breaching this section may be a criminal offence under the Computer Misuse Act 1990. We may report a breach to the relevant authorities and disclose your identity to them.

4. Nature of our services — important

We are a consultancy, not a certification body. Wright Frameworks Ltd is not an accredited conformity assessment body and cannot certify any management system. Certification against ISO/IEC 42001 or any other standard can only be granted by an accredited certification body, which is independent of us. Under ISO/IEC 17021-1, a body that provides management system consultancy to an organisation cannot also certify that organisation's management system.

Accordingly:

• our "readiness" services prepare an organisation for assessment; they do not guarantee, promise or procure certification;
• no statement on this site should be read as a representation that engaging us will result in a successful certification audit;
• certification outcomes depend on the certification body's assessment and on matters outside our control.

5. Information on this site is not advice

Content on this site is provided for general information only. It is not legal advice, regulatory advice or professional advice on which you should rely, and it does not take account of your circumstances. You must obtain professional advice before taking, or refraining from, any action on the basis of content on this site.

Standards, regulations and guidance change. Although we make reasonable efforts to keep the site up to date, we make no representations, warranties or guarantees, express or implied, that the content is accurate, complete or current.

6. Submitting an enquiry

Submitting the enquiry form does not create a contract, a retainer, or a consultant–client relationship, and it does not oblige us to provide any service. We will use the personal data you submit as described in our Privacy Notice (PN-001).

Do not send confidential or commercially sensitive information, or any special category personal data, through the enquiry form. Information sent by an unencrypted route before an engagement and a confidentiality agreement are in place is not treated as confidential. If you need to share sensitive material, contact us and we will agree a secure route and a non-disclosure agreement first.

7. Intellectual property

We own or are licensed to use all intellectual property rights in the site and in the material published on it. Those works are protected by copyright laws and treaties. All such rights are reserved.

You may print one copy and download extracts of any page for your own reference. You must not modify copies, use any illustrations, photographs or graphics separately from accompanying text, or use any part of the content for commercial purposes without a licence from us. Our status as authors must always be acknowledged. Third-party trade marks and standard names (including "ISO" and "ISO/IEC 42001") are the property of their respective owners and are used for identification only.

Links to third-party sites are provided for information only. We have no control over their content and accept no responsibility for them or for any loss arising from your use of them.

You may link to our home page provided you do so fairly and legally, in a way that does not damage or exploit our reputation, and does not suggest an association or endorsement that does not exist. We may withdraw linking permission at any time.

9. Our liability

Nothing in these terms excludes or limits our liability for:

• death or personal injury caused by our negligence;
• fraud or fraudulent misrepresentation;
• any other liability that cannot lawfully be excluded or limited.

Subject to that, and because the site is provided free of charge for business use:

• we exclude all implied conditions, warranties and representations relating to the site to the fullest extent permitted by law;
• we will not be liable for any loss of profits, loss of business, loss of anticipated savings, loss of goodwill, business interruption, or any indirect or consequential loss, arising out of or in connection with use of, or inability to use, this site or reliance on its content;
• our total liability arising out of or in connection with your use of this site is limited to £100.

These limits are reasonable in the circumstances for the purposes of the Unfair Contract Terms Act 1977, given that the site is provided free of charge and is directed at business users. Liability arising under a paid engagement is governed by the contract for that engagement, not by this clause.

We are not liable for any loss or damage caused by a virus or other technologically harmful material that may infect your equipment as a result of using this site. You are responsible for configuring your own information technology and for using your own virus protection.

10. Consumers

This site is directed at businesses. If you are a consumer, nothing in these terms affects your statutory rights, and any term that would be unfair under the Consumer Rights Act 2015 does not apply to you.

11. Governing law and jurisdiction

These terms, their subject matter and their formation are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, save that if you are a consumer resident elsewhere in the United Kingdom you may also bring proceedings in your home jurisdiction.

12. Services are contracted separately

Any consultancy, assessment or readiness work is supplied under a separate written agreement. Nothing on this site constitutes an offer capable of acceptance.
